Production / Editing / Marketing
All request made and services rendered with Bobby Edwards Media Group by and for the account of the Customer, are subject to the following terms and conditions.
SHIPPING
All materials will be shipped to and from Bobby Edwards Media Group at the clients risk and expense.
GENERAL LIABILITY
Customer shall indemnify and hold Bobby Edwards Media Group harmless from all suits, claims, demands and other liabilities and expenses (including reasonable counsel fees arising out of or in connection with any goods or services furnished by Bobby Edwards Media Group. Bobby Edwards Media Group shall not be liable for loss of any kind due delays or failure in performance by it or any other agency. All work is accepted on the basis that copyright in the material supplied by the customer is vested in the customer.
LIEN
Bobby Edwards Media Group shall have a lien on client's property in the possession of Bobby Edwards Media Group to secure payment of outstanding invoices.
WARRANTY
Since the intrinsic value of the customer's film or tape clearly exceeds and bears no relationship to charges for transfer, duplication, editing and other services, Bobby Edwards Media Group, in accord with general practice in the video industry, assumes no responsibility for the loss or damage from any cause whatsoever, including loss resulting from the negligence of Bobby Edwards Media Group employees. Should a videotape transfer, duplication, or edited video program be found defective, Bobby Edwards Media Group will repair or replace such defects if the material is returned to Bobby Edwards Media Group and written notification is given within 10 days of receipt of such material. In no event shall Bobby Edwards Media Group be responsible for consequential damages. Customers waives any claim for adjustment in billing which is not timely, presented according to the provisions of this paragraph. CUSTOMER SHOULD, THEREFORE, INSURE FOR ASSESSED VALUE, ALL FILMS AND TAPES DELIVERED TO THIS COMPANY AGAINST ALL RISKS.
STORAGE
Customer's property is received, processed, and stored by Bobby Edwards Media Group solely at the customer's risk. Bobby Edwards Media Group shall not be liable for loss, damage, or destruction of such property, or for delivery delays. In no event shall Bobby Edwards Media Group be liable for more than the replacement value of the customer's raw stock. Bobby Edwards Media Group will store customer's materials for a period of up to 90 days after conclusion of work (upon customer's request). Within 30 days after written notification from Bobby Edwards Media Group, customer agrees to remove, at customer's expense, all materials in storage. In the event the customer does not remove such materials, Bobby Edwards Media Group shall have the right to destroy or otherwise dispose of such material without liability to Bobby Edwards Media Group or any other person. Customer agrees to indemnify and holdBobby Edwards Media Group harmless from all liability arising out of or connected with Bobby Edwards Media Group destruction or disposition of such materials. It is the customer's responsibility to notify Bobby Edwards Media Group of any change in the customer's address.
CUSTOMER SUPPLIED MATERIALS
If customer supplies old and/or imperfect materials to be used by Bobby Edwards Media Group in producing specific goods or services, Bobby Edwards Media Group will not be responsible for the quality resulting from the use of such materials.
TERMS
Terms are C.O.D. until credit has been established. Established accounts will be billed net 30 days. Service charges of 1.5% per month shall accrue to accounts outstanding more than 30 day. Bobby Edwards Media Group retains ownership of all edited and source video tapes until payment for the production of these materials is received in full.
SALES TAX
All rates are subject to applicable sales tax unless a valid MO State Sales Tax Exemption Certificate is presented to Bobby Edwards Media Group for its records.
CANCELLATION
Cancellation Policy (unless otherwise agreed in writing): Cancellation within four (4) full business days of the scheduled work will result in a charge of 50% of the services and equipment scheduled. Cancellation within three (3) full business days or less of the scheduled work will result in a charge of 100% of the services and equipment scheduled. (Business days are Monday through Friday and do not include Saturdays, Sundays or Holidays.) Additionally, in the event of cancellation, Bobby Edwards Media Group will be entitled to compensation for services performed and materials furnished up to the time of cancellation in accordance with Bobby Edwards Media Group established rate card charges. Bobby Edwards Media Group will also be entitled to reimbursement for any and all expenses incurred resulting from and relating to this cancellation.
